DISTANCE SALES AGREEMENT PRELIMINARY INFORMATION TEXT

This preliminary information text is shared in accordance with Article 5 of the Distance Contracts Regulation of the Ministry of Trade, for the purpose of informing the buyer in advance before the conclusion of a distance sales contract.
 
a) Essential characteristics of the goods or services subject to the contract,
b) Name or title of the seller or supplier, and their MERSIS number if applicable.
c) The seller's or supplier's full address, telephone number and other contact information, and, if applicable, the identity and address of the person acting on behalf of or for the account of the seller or supplier, enabling the consumer to contact them quickly.
c) If the seller or supplier has contact information other than that specified in clause (c) for the consumer to submit complaints, information regarding this information,
d) The total price of the goods or services, including all taxes, or, if this cannot be calculated in advance due to their nature, the method of calculating the price, any additional transportation, delivery and similar costs, and information on how these additional costs can be paid if they cannot be calculated in advance.
e) Additional costs incurred by consumers in cases where the cost of using the remote communication tool cannot be calculated based on the standard fee schedule during the contract formation phase.
f) Information regarding payment, delivery, performance, any related commitments, and the seller's or supplier's methods for resolving complaints.
g) In cases where a right of withdrawal exists, information regarding the conditions for exercising this right, its duration, procedure, and the carrier designated by the seller for returns.
g) The full address, fax number, or email address to which the cancellation notice should be sent,
h) Information regarding the circumstances under which the consumer cannot exercise the right of withdrawal pursuant to Article 15, or under what conditions the consumer loses the right of withdrawal.
i) Deposits or other financial guarantees, if any, that the consumer is required to pay or provide upon request by the seller or supplier, and the terms and conditions relating thereto,
i) Any technical protection measures that may affect the functionality of digital content,
j) Information known to, or reasonably expected to be known by, the seller or supplier regarding which hardware or software the digital content is compatible with.
k) All information regarding consumers' right to submit their disputes to the Consumer Court or the Consumer Arbitration Board is available on our website and in our contract.
 
The above information is provided for your information, confirmation, and acceptance as an integral part of this distance selling contract.

DISTANCE SALES AGREEMENT
 
 
This agreement regulates the obligations of the parties in accordance with Articles 48 et seq. of the Law No. 6502 on the Protection of Consumers and related legal regulations, regarding the sale and delivery of the products/services specified below, which the buyer (consumer) wishes to purchase by placing an order on the seller's (Black Fashion) website, https://www.blackfashion.com.tr/, which operates an e-commerce business, and other related matters.

2. Subject of the Contract: Product, Price, Payment and Delivery
 
1. The type and kind of products, quantity, brand, model, color, unit price, sales price, payment (collection) information, and delivery information, including the delivery location specified by the buyer, are as stated below. If the shipping company does not have a branch in the buyer's location, the buyer must pick up the delivery from another nearby branch to be indicated by Black Fashion. Other matters related to delivery are specified in Article 6 of the contract below.
 
2. The product will be delivered from the Black Fashion store, where the buyer selected the product during the order process, to the delivery point chosen by the buyer within a maximum of 15 days. After the product is left at the delivery point, the buyer will collect the product within a maximum of 14 business days, between 10:00 and 22:00, using the code sent to the phone number/email address provided during registration on the website. If the buyer does not collect the product within this period, it will be considered a return, and the product price will be refunded to the credit card/bank account used for the order. Buyers can call the customer service number +90 850 888 88 23 free of charge to obtain information about their orders and submit complaints, send a written notification to info@blackfashion.com.tr, or receive written consultation via WhatsApp at +90 532 209 89 70.
 
3. Matters the Buyer Was Informed Of in Advance
 
1. The Buyer confirms that, prior to the establishment of this agreement by accepting it on the website and placing an order or incurring payment obligations, they have been informed by viewing and examining all general and specific explanations on the relevant pages/sections of the Website.
 
2. Black Fashion's name, contact information, and current descriptive details,
 
3. Appropriate tools and methods for correcting incorrectly entered information during the sales process when purchasing products from the website.
 
4. Electronic communication information that Black Fashion may obtain regarding the codes of conduct prescribed by the professional chambers to which it belongs, concerning professional matters; the privacy, data usage-processing and electronic communication rules applicable to buyer information applied by the Seller, the permissions given by the buyer to Black Fashion in these matters, the buyer's legal rights, Black Fashion's rights and the methods of exercising the rights of the parties, and the shipping restrictions imposed by Black Fashion for the products.
 
5. The payment methods accepted by Black Fashion for the products subject to this contract, the basic features and characteristics of the products, and the total price including taxes (the total amount the buyer will pay to Black Fashion, including related costs),
 
6Information regarding the procedures for delivering the products to the buyer and the shipping, delivery, and cargo costs.
 
7. Other payment/collection and delivery information related to the products, and information regarding the performance of the contract, the commitments and responsibilities of the parties in these matters.
 
8. Products and other goods/services for which the buyer does not have the right to withdraw,
 
9. In cases where the buyer has the right to withdraw from the contract, the conditions, duration, and procedure for exercising this right, and the fact that the buyer will lose their right to withdraw if this right is not exercised within the specified period.
 
10. In the case of products subject to the right of withdrawal, if the product is damaged or altered due to misuse within the withdrawal period, not in accordance with the instructions for use, its usual operation, or its technical specifications, the buyer's request for withdrawal may not be accepted, and in all cases, the buyer will be liable to Black Fashion. In cases where Black Fashion accepts the situation, it may deduct an amount it deems appropriate from the refund to be made to the buyer, depending on the damage or alteration in question.
 
11. In cases where the right of withdrawal exists, how the products can be returned to Black Fashion and all related financial aspects (including return methods, costs, refund of the product price, and any discounts and offsets that may be applied to reward points earned/used by the Buyer during the return process),
 
12. If the buyer is a legal entity, it cannot exercise its "consumer rights," including the right of withdrawal, for products purchased for commercial or professional purposes (for example, bulk purchases are always considered to be of this nature).
 
13. All other sales terms and conditions included in this agreement, depending on its nature, are sent to the buyer via email after this agreement is approved and established on the website. The buyer may store and access this email for the requested period, and Black Fashion may also retain it for three years.
 
14. In case of disputes, the buyer can submit their complaints to Black Fashion using the provided contact information, and can also make legal applications to the District/Provincial Arbitration Boards and Consumer Courts in accordance with the relevant provisions of Law No. 6502.
 
15. The buyer acknowledges and accepts that they can call the customer service number +90 850 888 88 23 free of charge to obtain information about their order and submit complaints, send a written notification to info@blackfashion.com.tr, or receive written consultation via WhatsApp at +90 532 209 89 70.
 
4. Right of Withdrawal
 
1. The buyer has the right to withdraw from this contract within fourteen (14) days from the date of receipt of the product without giving any reason and without paying any penalty. The buyer who wishes to exercise this right must have fulfilled the obligation to notify Black Fashion of their intention to exercise this right within the legal period under the conditions specified in this contract. In cases where the right of withdrawal is possible, the buyer is legally responsible for any changes or damage that occur if the product is not used in accordance with its operation, technical specifications and usage instructions within the withdrawal period. Accordingly, if there are changes or damage due to the product not being used in accordance with its usage instructions, technical specifications and operation during the period up to the withdrawal date, the buyer may lose their right of withdrawal; if accepted by the Seller, a discount equal to the change/damage will be applied to the price of the product to be refunded. In cases where the right of withdrawal exists, it is sufficient for the buyer to have given a clear notification to Black Fashion (verbally/in writing to the contact addresses specified above) that they are exercising their right of withdrawal within the legal 14-day period.
 
2. The delivery of the goods by the seller to the carrier is not considered delivery to the consumer.
 
In determining the withdrawal period;
a) In the case of goods that are the subject of a single order but delivered separately, on the day the consumer or a third party designated by the consumer receives the last item,
b) In the case of goods consisting of multiple parts, on the day the consumer or a third party designated by the consumer receives the last part,
c) In contracts where the goods are delivered regularly over a specified period, the date on which the consumer or a third party designated by the consumer receives the first item shall be taken as the basis.
 
3. For cases where the right of withdrawal does not apply, the Buyer may only deliver the product to be returned to the shipping companies contracted by Black Fashion. Returns and shipping costs for products delivered to Black Fashion via any other shipping company will not be accepted. Returns must be made with the original box or packaging. Products whose original box/packaging is damaged (e.g., a shipping label attached to the original box and/or taped with shipping tape, etc.), have lost their resale value, and are in a condition that prevents them from being purchased by another customer will not be accepted for return. The Buyer must send the product they wish to return, along with the original delivery note and a letter stating the reason for the return, to Black Fashion.
 
4. If the buyer wishes to cancel their order, they must submit a cancellation request via email, phone number, or by calling customer service at +90 850 888 8823. Black Fashion will then notify the buyer via email that the cancellation has been processed. It should be noted that if the product has not yet been shipped, the full amount will be refunded using the same method used for the order; if the product has been shipped, the refund will be made after deducting the shipping cost.
 
5. Rules Regarding Security, Privacy, Personal Information, Electronic Communications, and Intellectual and Industrial Property Rights
 
1. The following privacy rules, policies, and terms and conditions apply to the protection, confidentiality, processing, use of information, communications, and other matters on the website.
 
2. Necessary measures have been taken within Black Fashion's system infrastructure to ensure the security of information and transactions entered by the buyer on the website, in accordance with current technical capabilities and the nature of the information and transaction. However, since the information is entered from the buyer's device, the responsibility for taking necessary precautions, including those against viruses and similar harmful applications, to protect this information and prevent unauthorized access, rests with the buyer.
 
3. Black Fashion may record, store in printed/magnetic archives, update when deemed necessary, share, transfer, use and process in other ways, for indefinitely or for a period they deem appropriate, the information obtained during the buyer's membership and purchases on the website, for all kinds of informational, advertising-promotional, sales, marketing, store card, credit card and membership applications, and other commercial-social communications, with the aforementioned parties and their successors. This data may also be transmitted to the relevant authorities and courts when required by law.
 
4. The recipient consents to and authorizes the use, sharing, and processing of their existing and new personal and non-personal information within the scope outlined above, in accordance with the legislation on the protection of personal data and electronic commerce legislation, and to receive commercial and non-commercial electronic communications and other communications.
 
5.The buyer can stop the use/processing of data and/or communications at any time by contacting Black Fashion through the specified communication channels. The procedure for this is detailed in the Personal Data Protection Procedures on the website.
 
6. All intellectual and industrial property rights and ownership rights regarding all information and content on the website, and their arrangement, revision, and partial/complete use, belong to Black Fashion, except for those belonging to other third parties according to Black Fashion's agreement.
 
7. Black Fashion reserves the right to make any changes it deems necessary regarding the above matters; these changes will be effective from the moment they are announced by Black Fashion on its website or through other appropriate methods.
 
8. Other websites accessed through this website have their own privacy and security policies and terms of use; Black Fashion is not responsible for any disputes or negative consequences that may arise from them.
 
6. General Provisions
 
1. The product subject to this contract will be delivered to the buyer or to a third party/organization at the address indicated on the website, within the legal 15-day period, in accordance with the principles stated below and in Article 2 of this contract.
 
2. Generally, and unless explicitly stated otherwise, delivery costs (shipping fees, etc.) are the responsibility of the buyer. Black Fashion may choose not to pass on all or part of these delivery costs to the buyer, depending on the campaigns it is running at the time of sale and whose terms are announced on its website.
 
3. If the recipient is not present at their address at the time of delivery and the persons at the address refuse delivery, Black Fashion will be deemed to have fulfilled its obligation in this regard. If there is no one at the address to receive the delivery, it is the recipient's responsibility to contact the shipping company and track the shipment. If the product is to be delivered to a person/organization other than the recipient, Black Fashion cannot be held responsible if the recipient is not present at the address or refuses delivery. In these cases, any damages resulting from the delayed delivery, as well as expenses incurred due to the product waiting at the shipping company and/or the return of the shipment to Black Fashion, are the responsibility of the recipient.
 
4. The buyer is responsible for inspecting the product upon receipt and, if any problems caused by shipping are found, for refusing the product and having a report drawn up by the shipping company representative. Otherwise, Black Fashion will not accept responsibility.
 
5. Unless otherwise stipulated in writing by Black Fashion, the buyer must have paid the full price of the product before receiving it. In cash sales, if the product price is not fully paid to Black Fashion before delivery, or in installment sales, if the due installment amount is not paid, Black Fashion may unilaterally cancel the contract and not deliver the product. If, for any reason after delivery, the bank/financial institution to which the credit card used for the transaction belongs does not pay the product price to Black Fashion or requests a refund of the amount paid, the product must be returned to Black Fashion by the buyer within 3 days at the latest. If the non-payment of the product price is due to a fault or negligence of the buyer, the shipping costs will be borne by the buyer. Black Fashion reserves all its contractual and legal rights, including the right to pursue the product price claim, in all circumstances, even if it does not accept the return.
 
6. Black Fashion reserves all legal rights in cases legally considered installment sales (including the right to terminate the contract and/or demand full payment of the remaining debt with default interest in case of non-payment of installments) within the framework of relevant legislation. In case of default by the buyer, default interest will be applied at a monthly rate as stipulated by applicable laws.
 
7. If the product cannot be delivered within the legally mandated maximum period of 15 days due to extraordinary circumstances (such as adverse weather conditions, heavy traffic, earthquakes, floods, or fires) outside of normal sales/delivery conditions, Black Fashion will inform the buyer regarding the delivery. In this case, the buyer may cancel the order, order a similar product, or wait until the extraordinary circumstances end.
 
8. In case of order cancellations and contract terminations, including those in accordance with the contract and law, if the product price has been collected, it will be refunded to the buyer within a maximum of 14 days. The following rules apply. The refund will be made in a manner consistent with the payment method used by the buyer to pay Black Fashion for the product price. For example, in the case of credit card payments, the refund will be made to the buyer's credit card, and the product amount will be returned to the relevant bank within the same period after the order is canceled by the buyer; since the reflection of this amount in the buyer's account after the refund process is carried out by the seller is entirely related to the bank's processing time, the buyer acknowledges in advance that Black Fashion cannot intervene in any way or assume responsibility for any possible delays. Black Fashion has and reserves the right to offset, discount, and reduce the amount to be refunded, as arising from this contract and the law. The buyer's legal rights are also reserved and available in cases where the contract is terminated by the buyer due to Black Fashion's failure to perform its obligations. If the discount applied to the purchase expires before the buyer's return period, Black Fashion will be able to accept the return by applying the new price to the product's original price.
 
9. The buyer can access and review these notifications and this agreement at any time by saving the email to the email address they provided after acceptance. Furthermore, these emails are stored in Black Fashion's systems for a period of two years.
 
10. In resolving any disputes arising from this agreement and/or its implementation, Black Fashion records (including recordings on magnetic media such as computer and audio recordings) shall constitute evidence; the parties' rights arising from relevant mandatory legal regulations in this regard shall remain valid and reserved.
 
7. Legal Remedies and Competent Judicial Authorities of the Buyer
 
1. In case of disputes arising from this contract, the Provincial and District Consumer Arbitration Boards shall have jurisdiction within the monetary limits determined and announced annually by the Ministry of Customs and Trade as required by law, and the Consumer Courts shall have jurisdiction in cases exceeding these limits. Within this framework, the Buyer may apply to the Arbitration Boards and Consumer Courts (Istanbul) located in their place of residence or, if they so choose, in Black Fashion's place of residence.
 
2. The Buyer acknowledges and declares that they have read all the terms and conditions written in this agreement and the order-contract pre-information (on the website) which forms an integral part of it, and that they are aware of all the matters written in Article 3 of this agreement, including the basic features and characteristics of the product(s) subject to sale, the sales price, the payment method, the delivery conditions, all other pre-information and notices regarding Black Fashion and the product subject to sale, the right of withdrawal, and the conditions regarding personal information, electronic communication, and reward points; that they have seen all of this electronically on the website; and that by ordering the product, they have accepted the terms of this Agreement by providing electronic confirmation, approval, acceptance, and consent to all of these. Both the aforementioned pre-information and this agreement are also sent to the email address provided by the Buyer to Black Fashion, and the confirmation of receipt of the order, along with the order summary, is also included in the said email.
